Terms of Service

Welcome to Pending. These Terms of Service govern your use of Pending and its related services. By creating an account or using Pending, you agree to these Terms.

Pending operates from Ontario, Canada.

What Pending Does

Pending helps users identify responsibilities in their communications and maintain those responsibilities as the underlying conversations evolve.

Pending may:

  • Process communications you forward or submit to the service
  • Access communication content you explicitly authorize through supported integrations, including Gmail, Outlook/Microsoft 365, iCloud Mail, and Slack
  • Identify responsibilities and generate summaries and recommendations using AI
  • Help you understand and keep track of what you are responsible for
  • Use later communications to understand when existing responsibilities change, are completed, cancelled, delegated, or otherwise updated

Pending is a productivity tool. It is not a replacement for your email or communication services, record-keeping system, or professional advice.

Eligibility

You must be at least 18 years old to use Pending.

By using the service, you confirm that:

  • You are legally able to enter into these Terms
  • You have the right to use any communication account you connect and to submit or process communications through Pending
  • Your use of Pending and the communications you submit or connect is lawful
  • The information you provide is accurate

Your Responsibilities

You are responsible for:

  • Maintaining the security of your account
  • Reviewing responsibilities identified and maintained by Pending
  • Verifying important deadlines, commitments, and information
  • Ensuring you are authorized to connect accounts and process communications through the service
  • Notifying us promptly if you believe your account has been compromised or accessed without authorization

Pending uses AI and automated systems to identify, interpret, and maintain responsibilities. These systems may miss a responsibility, identify one incorrectly, or incorrectly interpret or update its owner, status, deadline, priority, completion, delegation, Waiting on Others state, or other context.

Pending is intended to help you understand what may require your attention. It is not an authoritative record of your legal, contractual, professional, financial, or other obligations. You remain responsible for reviewing important information and should independently verify responsibilities, deadlines, commitments, and changes where missing or misunderstanding them could have significant consequences.

Acceptable Use

You may not use Pending to:

  • Violate any law or regulation
  • Process communications or accounts you are not authorized to access
  • Harass, abuse, or harm others
  • Attempt to gain unauthorized access to the service
  • Interfere with the operation of the platform

We may suspend or terminate accounts that violate these rules.

Responsibility for Content You Submit

You are responsible for ensuring that you are authorized to connect accounts and submit or process communications through Pending.

To the extent permitted by law, you agree to indemnify Pending against third-party claims, damages, and reasonable costs arising directly from your unlawful or unauthorized submission of communications or your intentional misuse of the service.

This does not require you to indemnify Pending for claims caused by Pending’s own breach of these Terms, negligence, or unlawful conduct.

Your Data

You retain ownership of your content.

By using Pending, you give us permission to process your communications, responsibilities, and related data as necessary to provide, operate, secure, support, and improve Pending and its user-facing features, subject to our Privacy Policy and applicable platform requirements.

Pending does not sell your personal information or communication content and does not use communication content for advertising.

Pending does not use your communications to train its own AI models.

Our handling of personal information, including AI and service-provider processing, is described in our Privacy Policy.

AI-Generated Results

Pending’s AI-generated and automated results may be incomplete, inaccurate, or outdated. We do not guarantee that every responsibility or relevant change will be identified or that generated responsibilities, summaries, dates, ownership assessments, statuses, or other interpretations will be correct.

You remain responsible for reviewing and confirming important information.

Third-Party Services

Pending relies on third-party providers for infrastructure, authentication, payments, communication integrations, and AI processing. Pending may also allow you to connect services provided by third parties.

We do not control third-party services and cannot guarantee their continued availability, compatibility, accuracy, or performance. A third-party provider may change or discontinue its service, permissions, APIs, or functionality in ways that affect Pending.

Your use of connected third-party services may also be subject to their terms and policies.

Nothing in this section limits Pending’s responsibilities for its own handling of personal information or other obligations that cannot lawfully be excluded.

Subscriptions

Pending offers a 14-day full trial with no credit card required. The trial provides the full Pending experience and access to all supported communication sources.

Starting the no-card trial does not by itself result in a charge.

If you choose to upgrade to a paid subscription during the trial, your paid subscription begins when you complete the purchase.

Pending’s Free plan includes:

  • 3 new automatically discovered responsibilities per day
  • 1 active communication source for new automatic discovery
  • Lifecycle intelligence for existing responsibilities
  • Waiting on Others
  • Existing responsibilities and responsibility history
  • Manual responsibility creation without consuming the automatic-discovery allowance

Downgrading to Free does not delete existing responsibilities or responsibility history.

Pending’s individual paid plan costs $7 USD per month or $70 USD per year and includes unlimited automatic responsibility discovery and all supported communication sources.

Applicable taxes may be added where required by law. Any other mandatory charges will be disclosed before purchase.

Paid subscriptions automatically renew for the selected monthly or annual billing period unless cancelled.

You may cancel a paid subscription at any time. Paid access continues through the end of the current paid billing period after cancellation, and the subscription will not renew.

Payments are generally non-refundable except where required by law.

When paid access ends, the account becomes subject to the Free plan’s limits. Existing responsibilities and responsibility history are not deleted as a result of the downgrade.

We may change subscription prices in the future. Price changes will apply prospectively, and we will provide advance notice where required by applicable law.

Additional pricing, billing, renewal, and purchase information will be presented before you complete a paid purchase.

Nothing in this section limits any cancellation, refund, renewal, or other consumer right that applicable law gives you.

Account Deletion

You may delete your account at any time. Account deletion is different from cancelling a subscription or disconnecting a communication source.

When an account is deleted, associated application data is removed in accordance with our Privacy Policy.

Some information may be retained where required or permitted for legal, security, fraud prevention, accounting, billing, provider, or infrastructure purposes.

Service Availability

We work hard to keep Pending available and reliable, but we do not guarantee uninterrupted or error-free operation or that communications will always be received, processed, synchronized, or updated within a particular time.

Pending depends on communication providers, integrations, infrastructure, and other third-party services that we do not fully control. Their availability, permissions, APIs, functionality, or terms may change, and connections may occasionally fail or require you to reconnect or reauthorize them.

Features may change, be modified, or be removed from time to time. We may suspend or discontinue the service or particular integrations, with reasonable notice when practical.

Disclaimer

Pending is provided "as is" and "as available." To the fullest extent permitted by law, we make no warranties regarding accuracy, reliability, availability, or fitness for a particular purpose.

To the fullest extent permitted by law, we do not guarantee that data stored in Pending will never be lost, corrupted, deleted, delayed, or unavailable. Pending is not intended to serve as your sole archive or record-keeping system, and you should retain important source communications and records in the systems appropriate for them.

Nothing in these Terms excludes or limits any warranty, condition, consumer right, or other protection that cannot lawfully be excluded or limited.

Limitation of Liability

To the maximum extent permitted by law, Pending will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, or loss of data, arising from or relating to Pending or your use of the service, including claims arising from service failures, data loss, or unauthorized access to or disclosure of information.

To the maximum extent permitted by law, total liability for all claims arising from or relating to Pending or these Terms, including claims involving privacy, security, data loss, or unauthorized access to or disclosure of information, will not exceed the greater of (a) the amount you paid for Pending during the twelve months preceding the event giving rise to the claim and (b) $100 CAD.

These limitations apply regardless of the form of the claim, including contract, tort, negligence, or otherwise, to the extent permitted by law.

Nothing in these Terms excludes or limits liability, warranties, remedies, or consumer rights to the extent they cannot lawfully be excluded or limited.

Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we will provide notice through the app, by email, or both where appropriate.

Changes will apply from the effective date stated in the updated Terms. Where applicable law requires your affirmative agreement to a change, we will obtain it before the change applies to you.

Governing Law and Disputes

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario.

Subject to any rights you have under applicable law to bring a claim in another jurisdiction, disputes relating to these Terms or Pending may be brought before the courts of Ontario.

Nothing in these Terms limits any mandatory rights or remedies you have under the laws that apply to you.
